Terms of Service
1. Agreement to Terms
By accessing or using Suvio at suvio.io ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
The Service is operated by Digitalstamp Holding LTD, a company registered in Bulgaria ("we," "us," "our").
2. Description of the Service
Suvio is an AI prompt-engineering platform that helps creators craft optimized prompts for AI image and video generation platforms (such as Midjourney, Kling, Veo, and others). The Service includes:
- An AI-powered prompt generator that produces platform-specific prompts from your scene descriptions
- Character lock definitions for maintaining visual consistency across prompts
- Style presets for controlling the aesthetic direction of generated prompts
- Subscription-based access with tiered prompt limits
Important: Suvio generates text prompts. It does not generate images or videos directly. You copy the prompts from Suvio and paste them into the respective AI platforms. Suvio has no API connection to those platforms and does not control their output.
3. Account Registration
To use Suvio, you must create an account using either Google OAuth or a magic-link email. By creating an account, you represent that:
- You are at least 16 years old
- The information you provide is accurate
- You will keep your account credentials secure
- You are responsible for all activity under your account
You may not create multiple accounts to circumvent plan limits or share your account with others.
4. Subscription Plans and Payment
Free Tier (Spark)
The Spark plan provides limited access at no cost. No payment information is required.
Paid Plans
Paid plans (Creator, Studio, Studio Pro, Unlimited) are billed monthly or annually through Stripe. By subscribing to a paid plan, you agree that:
- You authorize recurring charges at the rate displayed at the time of purchase
- Annual plans are billed as a single upfront payment for the year
- Your subscription renews automatically unless you cancel before the renewal date
- You can cancel at any time through the Customer Portal (accessible from your dashboard)
- Cancellation takes effect at the end of your current billing period — you retain access until then
- Refunds are handled on a case-by-case basis at our discretion
Prices are listed in US dollars. We reserve the right to change pricing with 30 days' notice.
Prompt Limits
Each plan includes a monthly prompt allowance. Prompt counts reset at the beginning of each billing cycle. Unused prompts do not roll over.
5. User Content
"User Content" means any text, character definitions, scene descriptions, or other content you create or input while using the Service.
- You own your User Content. We do not claim ownership of anything you create in Suvio.
- You grant us a limited license to process your User Content solely to provide the Service (e.g., passing your scene description to our AI engine to generate a prompt). This license terminates when you delete your content or your account.
- You are responsible for your User Content. Do not input content that is illegal, infringing, or violates these Terms.
6. AI-Generated Output
Suvio's prompt engine produces AI-generated prompt text based on your input. Regarding this output:
- No guarantee of uniqueness — AI-generated prompts may be similar to prompts generated for other users with similar inputs.
- No guarantee of results— the quality and suitability of images or videos produced when you use Suvio's prompts in third-party platforms depends on those platforms, not on Suvio.
- You may use the output freely — prompts generated by Suvio are yours to use, modify, and share. We do not claim copyright over generated prompt text.
- Third-party platform terms apply— when you use Suvio prompts in Midjourney, Kling, or other platforms, those platforms' terms of service govern what you can do with the resulting images or videos. Suvio is not responsible for those platforms' terms, policies, or output.
7. Acceptable Use
You may not use the Service to:
- Generate prompts intended to produce illegal content, including but not limited to child sexual abuse material, non-consensual intimate imagery, or content that incites violence
- Attempt to circumvent plan limits, rate limits, or security measures
- Reverse-engineer, decompile, or extract the source code of the Service or its AI models
- Use automated tools (bots, scrapers) to access the Service without our written permission
- Impersonate another person or misrepresent your affiliation
- Interfere with the operation of the Service or other users' access
We reserve the right to suspend or terminate accounts that violate these terms without notice.
8. Intellectual Property
The Service — including its design, code, AI models, brand assets, and documentation — is owned by Digitalstamp Holding LTD and protected by copyright, trademark, and other intellectual property laws.
"Suvio" and the Suvio logo are trademarks of Digitalstamp Holding LTD. You may not use our trademarks without written permission.
9. Service Availability
We strive to keep Suvio available and reliable, but we do not guarantee uninterrupted or error-free service. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control.
We are not liable for any loss or damage resulting from service interruptions.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- Suvio is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
- Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.
11. Indemnification
You agree to indemnify and hold harmless Digitalstamp Holding LTD and its officers, directors, and employees from any claims, losses, or damages (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.
12. Termination
- You may terminate your account at any time by contacting us at [email protected] or canceling your subscription through the Customer Portal.
- We may terminate your account if you violate these Terms, if required by law, or if we discontinue the Service.
- Upon termination, your right to use the Service ends immediately. We will delete your data in accordance with our Privacy Policy.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of Bulgaria. Any disputes arising from or related to these Terms shall be resolved in the courts of Bulgaria, without prejudice to any mandatory consumer protection laws that may apply in your country of residence.
If you are a consumer in the European Union, you may also use the European Online Dispute Resolution (ODR) platform at ec.europa.eu/odr.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
If you do not agree with the updated Terms, you may close your account before the changes take effect.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
16. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Digitalstamp Holding LTD regarding the Service.
